Terms of Service
Automatic renewal. Read this first.
Paid plans renew automatically for the same period (1 month or 1 year) at the price shown when you bought, unless you cancel before the renewal date.
To stop the next renewal, cancel by the day before the renewal date shown in My account: sign in at brainplane.app/account and choose Manage billing, or write to hello@brainplane.app. You keep access until the end of the period you paid for.
We email you before each yearly renewal (section 6.3). After a yearly plan has renewed, a consumer can still end it at any time and get back the unused part of the price (section 7.3).
The free trial needs no card and never turns into a paid plan on its own.
1. Who we are and what these terms cover
1.1 brainplane is a Mac app that coordinates the AI agents you already use, such as Claude Code, Codex and Grok. It keeps 1 shared state per topic, hands work between agents, answers the questions it already knows, and keeps a receipt for each write. It runs on your Mac.
1.2 brainplane is published, licensed and sold by ABJ Consulting FZ-LLC, a Free Zone Limited Liability Company (FZ-LLC) licensed by the Ras Al Khaimah Economic Zone Authority (RAKEZ) under licence 47023167, registration number 0000004071356, at FAMC4131, Compass Building, Al Shohada Road, Al Hamra Industrial Zone-FZ, Ras Al Khaimah, United Arab Emirates, email hello@brainplane.app ("we", "us"). Full details are in the legal notice.
1.3 These terms are the licence and sales agreement for brainplane. They apply to the website brainplane.app, your brainplane account, the free trial and every paid plan. Our Privacy Policy, Refund Policy and Cookie Policy are part of them.
1.4 We sell the paid plans to you directly. Stripe processes the payment for us as our payment provider. We never see your full card details.
1.5 If you are a consumer, nothing in these terms takes away a right that the law of your country gives you and that cannot be waived by contract.
2. What you need besides brainplane
2.1 brainplane does not include any AI model or AI subscription. It sells no access to Claude, ChatGPT, Codex, Grok or any other model. It works with the agents you install and sign in to yourself, on your own plans with each vendor.
2.2 You need at least 1 supported agent with your own account and plan. 1 plan is enough to use brainplane. With 2 or more, your agents can hand work to each other. The supported agents are listed in the docs.
2.3 You sign in to each agent through that vendor's own login. brainplane never asks for, reads, stores or forwards your agent passwords, tokens or session keys.
2.4 Your use of each agent is governed by your contract with its vendor (for example Anthropic, OpenAI or xAI). Those vendors are independent of us. Their prices, usage limits, availability and terms are theirs and can change. brainplane runs your agents' official tools on your Mac, on your own login. It does not pool, share or resell your plan. Read the terms of your plan with each vendor.
2.5 Voice input is optional. If you turn on the built-in OpenAI engine, you enter your own OpenAI API key. Audio then goes from your Mac to OpenAI on your key and at your cost, under your contract with OpenAI. You can also use a dictation app you already have, or Apple speech on your Mac.
2.6 brainplane needs a Mac with Apple silicon and macOS 26 or later. Some features ask for macOS permissions, such as the microphone. You can refuse them; the related feature then stays off.
3. AI output and your control
3.1 The agents that brainplane coordinates are AI systems run by third parties. Their output can be wrong, incomplete or out of date. Check it before you rely on it, especially for legal, financial, medical or security matters.
3.2 brainplane's own code never sends messages, pays, buys, deletes files or deploys on its own. Your agents can do those things inside the permissions you give them in their own tools. You decide those permissions. A spoken or typed request becomes a card first. To prepare that card, brainplane may send your request and selected topic details to the agent you chose for this, on your own account (Privacy Policy section 5). You can turn this off. A handoff starts only when you press Run. brainplane keeps a receipt for each handoff it starts.
3.3 Rules you set in brainplane, such as standing answers and Autopilot, act on your behalf within the limits you set. You can change or turn them off at any time.
4. Your account and the trial
4.1 Your brainplane account is your email address. You sign in with a 6-digit code that we email to you. Keep access to that mailbox safe: anyone who can read it can sign in to your account.
4.2 You can try brainplane free for 14 days with every feature. You need only an email address. No card is asked.
4.3 We offer 1 trial per person and per Mac.
4.4 At the end of the trial, brainplane switches to read-only mode (section 8) until you buy a plan. Nothing is charged and nothing renews.
5. Licence
5.1 While your trial or plan is active, we grant you a personal, non-exclusive, non-transferable licence to install and use brainplane on up to 3 Macs that you use, for personal or business purposes.
5.2 Your licence comes with a licence key. When you activate a Mac, the app checks the licence with our server and stores a signed licence file on that Mac. The app checks again when it is online, and works up to 30 days without a connection. You can deactivate a Mac from the app or from My account to free its place.
5.3 A business that buys a plan does so for 1 named person. That person may use it for the business's work. Each additional person needs their own plan.
5.4 You may not:
- share, sell, rent or sublicense your licence, your key or your licence file;
- remove or get around the licence check, or help others do so;
- use brainplane to break the law or another person's rights, or to break the terms of an agent vendor;
- use brainplane to build or run malware, or to access systems you are not allowed to access.
5.5 Nothing in these terms limits what the law lets you do with software you are entitled to use, such as observing, studying and testing how it works, or decompiling it where the law allows this for interoperability.
5.6 brainplane includes open-source components under their own licences. The list and the licence texts ship with the app. Those licences prevail for those components.
5.7 We keep all rights in brainplane that these terms do not grant to you. Your own content stays yours (section 9).
6. Paid plans, prices and renewal
6.1 The plans are: monthly at $12 a month, and yearly at $99 a year. The founding plan costs $69 a year and is open to the first 500 yearly buyers. Prices are in US dollars and include tax where tax applies. Before you pay, the checkout shows the plan, the total price with any tax, the billing period and that the plan renews automatically, and asks you to accept these terms. After your purchase we email your receipt and your licence key.
6.2 Your plan starts when payment succeeds. It renews automatically at the end of each period for the same period, at the price you agreed, until you cancel.
6.3 For a yearly plan, we email a renewal notice 15 to 30 days before the renewal date. It states the price, the renewal period, the last day to stop the renewal and how to cancel. For a monthly plan, we send a reminder once a year with its price, billing period and how to cancel.
6.4 Price changes. We may change the price of a plan for future periods. We email you 7 to 30 days before the new price applies to you, with the new price and how to cancel. Where the law requires it, we ask for your express agreement before we charge a higher renewal price, and if you do not agree, we do not charge it. The new price applies only from your next renewal after that notice, never during a paid period. You can always cancel before that renewal. The founding price stays the same for as long as your founding plan renews without a break.
6.5 Students and teachers can get 50% off the first year of the yearly plan with a single-use code sent to their school email.
6.6 Failed payment. If a renewal payment fails, Stripe retries it for a few days and emails you. brainplane keeps working during that time. If payment still fails, the plan ends and brainplane switches to read-only mode.
6.7 Business buyers can add a tax number at checkout. Invoices are in My account.
7. Cancellation, refunds and withdrawal
7.1 Cancel online at any time from My account (Manage billing), or by writing to hello@brainplane.app. Except in the cases of sections 7.2 to 7.4, cancellation takes effect at the end of the current paid period, and you keep full access until then. We do not ask you why, and we do not make you call anyone.
7.2 Voluntary refund. If you are not happy, ask within 14 days after your first payment for a plan, monthly or yearly, and you get a full refund. No reason needed. Details in the Refund Policy.
7.3 Ending a yearly plan after it has renewed. If you are a consumer and your yearly plan has renewed automatically, you can end it at any time, without any fee. It ends at the end of the current calendar month, and you get back the price of the time left after that date, calculated per day.
7.4 Your legal right of withdrawal (consumers in the EU, the EEA, the UK and Switzerland). You have 14 days from the day you buy a plan to withdraw from the contract without giving a reason. We do not ask you to give up this right when you start using the app. To withdraw, send a clear statement by email to hello@brainplane.app, or use the model form in the Refund Policy. Tell us the email you bought with, so we find your plan quickly. We confirm your withdrawal by email without undue delay, with its content and its date and time. You get a full refund within 14 days of your withdrawal, by the payment method you used.
7.5 After a refund or a withdrawal, the plan ends and brainplane switches to read-only mode.
8. When a plan ends: read-only mode
8.1 Your data is never locked and never deleted because a plan ends. In read-only mode you can still:
- read every topic, decision, receipt and Inbox card;
- export all your data;
- use brainplane's read tools from your agents, so running agents do not break.
8.2 In read-only mode, new handoffs, answers from brainplane, Autopilot, standing answers and write tools stop until you have an active plan again.
9. Your data and your content
9.1 brainplane stores your topics, decisions, receipts and settings on your Mac. We do not receive them. You choose which folders it reads. Our Privacy Policy lists the few things we do receive, such as your email and licence data.
9.2 Your content stays yours. We claim no right in it.
9.3 Keep backups of your important files. brainplane copies an agent's config file before it changes it, and shows you the change first, but backups of your own work remain your responsibility.
10. Updates and changes to the app
10.1 During your plan, we supply the updates needed to keep brainplane working as described, including security updates. The app tells you what each update changes, and you choose when to install it. If you do not install an update within a reasonable time after we told you about it and what happens if you do not install it, we are not responsible for a lack of conformity that the update alone would have fixed, as the law allows.
10.2 We may change brainplane beyond what is needed to keep it working as described only for these reasons: a change made by an agent vendor, security, a legal requirement, or support for a new version of macOS. Such a change costs you nothing extra, and we tell you clearly in advance. When a change reduces your access to brainplane or your use of it in a more than minor way, we tell you in advance by email, and you can end your plan within 30 days of that notice, or of the change if later, and get back the unused part of the price.
10.3 Agent vendors change their tools often. We aim to support new versions quickly, but a vendor change can stop a feature from working until we update brainplane. Section 11 applies if that happens.
11. Legal guarantee
11.1 If you are a consumer, brainplane must conform to the contract and to what the law requires during your whole plan. If it does not, you have the remedies the law of your country gives you. As a minimum, we bring it into conformity, and if we cannot or do not within a reasonable time, you can get a price reduction or end the contract with a refund for the period it did not conform.
11.2 Beyond the legal guarantee and what these terms say, brainplane is provided as it is. We do not promise that it will work with every agent version, that it will be free of errors, or that it meets a purpose you did not tell us about. This section does not limit any right that the law gives you and that cannot be excluded.
12. Liability
12.1 We do not exclude or limit our liability for: death or personal injury; our intentional fault or fraud; our gross fault; product liability under the law; or any other liability that the law does not allow us to exclude or limit.
12.2 Consumers. Our liability to consumers follows the law. We are responsible for brainplane's own behaviour. We are not responsible for the services, output or availability of third-party agents and model vendors, which you use under your own contracts with them, except where a fault in brainplane caused the harm.
12.3 Businesses. If you buy as a business, and subject to 12.1:
- we are not liable for loss of profit, revenue or goodwill, or for other indirect loss;
- our total liability for all other claims in any 12-month period is limited to the amount you paid us for brainplane in the 12 months before the event that caused the claim.
This cap does not reduce the refunds and price reductions these terms give you.
12.4 Neither party is liable for a delay or failure caused by events outside its reasonable control. This does not affect your right to cancel or to get a refund.
13. Ending the contract
13.1 You can end the contract at any time by cancelling your plan (section 7) and deleting the app.
13.2 We can suspend or end your licence if you seriously breach these terms, for example by sharing or circumventing the licence. Except in urgent cases, we first tell you what is wrong and give you 14 days to fix it. If we end a consumer's plan for a reason other than their breach, we refund the unused part of the price.
13.3 If we stop selling or supporting brainplane, we tell you at least 90 days in advance, refund the unused part of any yearly plan, and keep read-only mode and export working.
14. Changes to these terms
14.1 We may update these terms, for example for a new feature, a change in the law or a change by an agent vendor. We email you at least 30 days before a change applies to you, with a summary of what changes.
14.2 A change to your disadvantage applies to you only once you accept it, for example in the app or at your next renewal. If you do not accept it, you can end your plan before it applies and get back the unused part of the price. Changes required by law, and changes that only help you, apply on the date in the notice.
14.3 Each page of the legal center shows its version and the date it applies from. We keep every earlier version and send it to you on request.
15. Law and disputes
15.1 These terms are governed by the laws of the Emirate of Ras Al Khaimah and the federal laws of the United Arab Emirates. If you are a consumer, this choice does not deprive you of the protection of the mandatory rules of the country where you live, where the law gives you that protection (in the EU: Regulation (EC) 593/2008, article 6).
15.2 If you are a consumer, you can bring a claim before the courts of the place where you live when the law allows it (in the EU: Regulation (EU) 1215/2012, article 18), or before the courts of Ras Al Khaimah. We can bring a claim against a consumer only before the courts where the law allows. For businesses, the courts of Ras Al Khaimah have exclusive jurisdiction.
15.3 Please write to us first at hello@brainplane.app. Most problems are solved that way.
16. Other terms
16.1 If a term is unenforceable, it does not bind you. The remaining terms continue where the law allows.
16.2 You may not transfer your rights under these terms without our written consent. We may transfer them to a company that takes over brainplane, provided your rights are not reduced. We tell you if this happens.
16.3 These terms are written in English. If we provide a translation, the version in your language prevails where the law requires it.
